SIHCA Organization Bylaws

  By-Laws of

Southwest Ice Hockey Club Association

 

Article I

Name and Affiliation

             The name of this corporation shall be the Southwest Ice Hockey Club Association.  (Hereafter “SIHCA”).  SIHCA shall be affiliated with the Amateur Hockey Association of Illinois, Inc.: and USA Hockey.

 

Article II

Offices

             The principal office of SIHCA shall be in the State of Illinois.  SIHCA may have such other offices, either within or without the State of Illinois, as the business of the association may require from time to time.

            The registered office of SIHCA by the General Not-for-Profit Corporation Act to be maintained in the State of Illinois may be, but need not be; identical with the principle office in the State of Illinois, and the address of the registered office may be changed from time to time by the Board of Directors.

 

Article III

Purposes

Section 1—To encourage and improve the standards and conduct of High School ice hockey in the State of Illinois.

Section 2—To encourage, assist and administer hockey in the development and growth of a High School hockey league generally located in the South and Southwest portion of the Chicago region of the State of Illinois.

Section 3—To encourage and assist the formation and continuation of hockey teams at all High Schools in the area generally located in the South and Southwest portion of the Chicago region of the State of Illinois.

Section 4—To encourage, assist and promote sportsmanship and playing proficiency of all players involved in the sport of hockey in the State of Illinois, particularly in the area generally located in the South and Southwest portion of the Chicago region of the State of Illinois.

Section 5—To affiliate with the Amateur Hockey Association of Illinois, Inc. (hereafter “AHAI”), and require all teams playing in SIHCA to be registered with AHAI and USA Hockey.

Section 6—To conduct a High School ice hockey league and to sanction teams to enter and participate in said league.

Section 7—From time to time, to conduct ice hockey tournaments and to sanction teams to enter and participate in said tournaments.

Section 8—To communicate and cooperate with other High School hockey leagues, AHAI and USA Hockey, and other state and local hockey associations so as to improve and promote the sport of ice hockey both within and without the State of Illinois.

Section 9—To promote the best hockey competition within the SIHCA league at the least possible cost.

Section 10—To encourage and assist all hockey players to attain the highest level of competition.

 

Article IV

Members, Directors Meetings, Voting and Jurisdiction

Section 1—Membership:  The members of SIHCA shall comprise all high school hockey teams, as defined by AHAI By-Laws, Rules and Regulations, who participate in league competition with at least one REGULAR varsity team (as described by AHAI By-Laws, Rules and Regulations), including teams generally located in the South and Southwest portion of the Chicago Metropolitan region of the State of Illinois. Clubs entering two teams in the league must play one team at the Varsity “AA” level.

Section 2—Board of Directors:  Each high school organization that participates in SIHCA league competition with REGULAR varsity or junior varsity team shall elect or appoint one representative to be a member of the SIHCA Board of Directors.  Each high school organization shall inform SIHCA, in writing, by May 30th prior to each hockey season; failure to do so will mean that high school organization is without a representative, and the votes to which it is entitled, until such written notification is received by the duly elected Secretary of SIHCA.

Section 3—Voting Rights:  Each member Club shall be entitled to one vote upon each matter submitted to vote at meetings of the board of directors of SIHCA (i.e. if a high school organization has one varsity and two junior varsity teams, it is entitled to one vote).  Member team votes shall be cast by the elected or appointed representative of the high school organization.  All votes shall be by voice.  Any SIHCA representative may call for a roll call of voting.  All votes shall be a matter of public record.

Section 4—Quorum:  55 percent of the member teams eligible to vote shall constitute a quorum at any meeting of representatives who comprise the SIHCA board of directors; and, in the event that 55 percent of the member teams eligible to vote through their representatives are not present, a majority of the member clubs present, affirmative vote of the majority of voting teams shall be the act of the act of the board of directors, except when the board is voting on the admission of a new high school hockey organization to SIHCA, at which time two-thirds(2/3rd)of the member clubs voting rights must to cast in favor of accepting any such new high school hockey organization.

Section 5—Place of Meeting:  The President of the board of directors may designate any place within the southwestern portion of the Chicago Metropolitan are (Cook, Will and DuPage counties) as the place of meeting of the SIHCA board of directors.

Section 6—Regular Meeting:  SIHCA board of directors shall meet on the 2nd  Thursday of each month, at 7:00 PM at HF Ice Arena, unless that date is a holiday or otherwise interferes with SIHCA league activates at which time a Special Meeting can be called.

Section 7—Special Meetings:  Special meetings of SIHCA’s board of directors may be called by the President of SIHCA or a quorum of the board of directors.

Section 8—Notice of Meetings:  Written, printed or verbal notice stating the place, day and hour of all meetings, and in the case of special meetings, the purpose for which the meeting is called, shall be delivered not less than five (5) nor more than (30) days before the date of meeting to each representative high school organization entitled to cast votes at the board of directors meeting.  If mailed, such notice shall be deemed to b delivered when deposited in the Untied States mail, addressed to the representative high school organization entitled to cast votes at the board of directors meetings, with postage prepaid thereon.

Section 9—Jurisdiction:  SIHCA shall have jurisdiction over all matters in SIHCA league and tournament play.  The board of directors of SIHCA shall promulgate general policies, rules and regulations followed.  SIHCA shall promulgate no policies, rules and regulations that contradict or contravene by-laws, rule and regulations of AHAI and USA Hockey.

 

Article V

Directors:  Scope of Authority

Section 1—General Powers:  The business and affairs of SIHCA shall be managed by the Board of Directors.

Section 2—Specific Powers:  The Board of Directors shall determine what is in the best interest of high school hockey for the SIHCA league and shall have the authority to promulgate, implement and enforce rules, regulations, policies, incentives and penalties that advance those interests.

Section 3—Number, Tenure and Qualification:  The number of Directors of the SIHCA shall be no more than one representative from each high school organization that competes in SICHA league.  Representatives cannot be a couch in it member club.  They shall hold office from May 30th of each year until May 29th of the following year.  Each Director shall be appointed or elected by his/her high school organization.  In the event of a vacancy by death, disability, resignation, or removal, each Director shall be replaced by an election or appointment by the high school organization that is without a representative because of that vacancy.  Alternative representatives from each high school organization, has full authority of the regular Director at any meeting.  Each high school organization is required to inform SIHCA by May 30th of the beginning of each Board of Directors’ tenure who that alternative representative is.

Section 4—Regular Meetings:  The president or a majority of the Board of Directors may provide, by resolution, the time and place for holding regular or special meetings as provided above in sections 6 and 7 of Article IV.

Section 5—Manner of Acting:  The president or a majority of the Board of Directors present at a meeting at which a quorum is present, other than when admitting a new high school organization, shall be the act of the Board of Directors.

Section 6—The Board of Directors or such committee or Individual it appoints, in accordance with the rules and regulations promulgated by it, shall hear and rule on all disciplinary actions of individuals and teams, and shall resolve any and all disputes within the corporation.

Article VI

Officers 

Section 1—Number:  The officers of SIHCA shall be a President, a Vice President, a treasurer, and a secretary-Registrar and other such officers as may be elected or appointed by the Board of Directors.

Section 2—Election and Term of Office:  The officers of SIHCA shall be elected annually by the Board of Directors at the first meeting following the May 30th meeting of each new year.

Section 3—Removal:  Any officer, director or agent elected or appointed by the board of directors may be removed by a two-thirds (2/3rd) vote of the entire Board of Directors whenever in its best judgment the best interest of SIHCA would thereby be served.

Section 4—Presidents:  The President shall be the chief executive officer of SIHCA and shall in general supervise and control all the business and affairs of SIHCA.  He/she shall preside at all meetings of the member of the Board of Directors.  He/she may sign, with the secretary or any other proper officer the SIHCA authorized by the Board of Directors, any bonds, contracts, or other instruments that the Board of Directors has authorized to be executed, except in cases where the signing and execution shall be expressly delegated by the Board of Directors or by these By-Laws to some other office or agent of SIHCA, or shall be require by law to otherwise signed or executed; and in general shall perform all duties to the office of the President and such other duties as may be prescribed by the Board of Directors from time to time. 

Section 5—The Vice President:  In the absence of the President or in the event of the President’s inability or refusal to act, the Vice President (or in the event there is more than one Vice President, the Vice Presidents in order designated (e.g. First Vice President, Second Vice President, etc.) or in the absence of any designation, then in the order of their election) shall perform the duties of the President and when so actions, shall have all the powers of and be subject to all the restrictions upon the President and in general perform all the duties incident to the Office(s) of the Vice President and such other duties as from time to time may be assigned to him/her by the President of the Board of Directors of SIHCA.

Section 6—The Treasurer:  If required by the Board of Directors, the treasurer shall give a bond for the faithful discharge of his/her duties in such sum and with such surety or sureties as the Board of Directors shall determine.  He/she shall:  (a) have charge and custody of the and be responsible for funds and securities of SIHCA;  receive and give receipts for moneys due and payable to SICHA from any source whatsoever, and shall deposit all such moneys in the name of SIHCA in such banks, trust companies and other insured depositories as shall be selected in accordance with the By-Laws: (b) in general perform all the duties incident to the Office of Treasurer and such other duties as from time to time may be assigned to him/her by the President or the Board of Directors: and (c) provide an annual accounting of receipts and disbursements to the Board of Directors and the member high school hockey club organizations unless instructed to provide such information or a more frequent basis. Due to the activity and time involved the position of treasure will be a stipend position. Amount of stipend to be determined annually.

Section 7—The Secretary-Registrar:  The Secretary shall: (a) keep the minutes of the Board of Directors’ meeting in one or more books provided for that purpose; (b) see that all notices are duly given in accordance with the provisions of these By-Laws or as required by law; (c) be custodian of the corporate records and of the seal of SIHCA and see that the seal of the corporation under its seal is duly authorized in accordance with the provisions of these which on behalf of the corporation under its seal is duly authorized in accordance with the provisions of these By-Laws; (d) keep a register of the post office address of each member high school hockey club organizations and each member and alternate member of the Board of Directors; and (e) in general perform all duties incident to the Office of the Secretary and such other duties as from time to time may be assigned to him/her by the President of the Board of Directors.  The registrar shall: (a) be responsible for the registration of teams, player, coaches and managers, as required by AHAI rules and regulations; (b) keep records of all registrations and memberships; (c) “certify” eligible voting of representatives of the member high school hockey club organizations serving on the Board of Directors; (d) “certify” those registered member teams, with AHAI for state tournaments (e) implement procedures to coordinate all duties incident to the Office of Registrar and such other duties as from time to time may be assigned to him/her by the President of the Board of Directors.  Nothing in these By-Laws shall relieve any member or its agent, high school hockey club, association, team , player, parent or guardian of their responsibility to submit a roster that is true and correct and complies with all AHAI By-Laws, Rules and Regulations, these By-Laws or any rules and regulations that are promulgated by the Board of Directors of SIHCA.

Section 8- Any Officer traveling for league business will be reimbursed expenses and mileage up to IRS guidelines.

 

Article VII

Contracts, Loans, Checks and Deposits

Section 1 – Contracts:  The Board of Directors may authorize any officer or officer’s agent or agents to enter into any contract or execute and deliver any instrument in the name and on the behalf of SIHCA, and such authority may be general or confined to specific instances.

Section 2 – Loans:  No lean shall be contracted on behalf of SIHCA and no evidence of indebtedness shall be issued in its name unless authorized by a resolution of the Board of Directors.  Such authority may be general or confined to specific instances.

Section 3 – Check, Drafts, Etc:  All checks, drafts or other orders for payment of money, notes or other evidence of indebtedness issued in the name of SIHCA shall be signed by such officer or officers, agent or agents of SIHCA and in such manner as shall from time be determined by resolution of the Board of Directors.

Section 4 – Deposits:  All funds of SIHCA not otherwise employed shall be deposited from time to time to the credit of SIHCA in such banks, trust companies or other insured depositories as the Board of Directors may select.

Section 5 – Annual Audit:  An audit will be conducted at the conclusion of each fiscal year, and will be available for inspection upon request by member high school hockey club organizations. 

 

 

Article VIII

Fiscal Year

The fiscal year of SIHCA shall begin on the first day of June in each year and end on the last day of May in each year.

Article IX

Seal

The Board of Directors shall provide a corporate seal that shall be in the form of a circle and shall have inscribed thereon the name of the corporation and the words “Corporate Sea, Illinois”.

 

Article X

Waiver of Notice

Whenever any notice whatever is required to be given under the provisions of Articles of Incorporation or under the provisions of The General Not-for-Profit Corporation Act of the State of Illinois, a waiver thereof in writing, signed by the person or persons entitled to such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice.

 

Article XI

Disputes

Each controversy, question or dispute regarding or having an impact upon amateur hockey or amateur hockey players (“Dispute”), except those matters pertaining to playing rules specifically provided elsewhere within SIHCA, AHAI or USA Hockey By-Laws or Rule and Regulations, shall be resolved solely through the administrative procedure established in the By-Laws or Rules and Regulations of AHAI and/or USA Hockey (“Dispute Resolutions Procedure”).

 

Article XIII

Amendments

These By-Laws may be altered, amended or repealed and new By-Laws may be adopted at any meeting of SIHCA Board of Directors by a two-thirds (2/3rd) vote of the voting member representatives of the high school hockey clubs that comprise SIHCA at a meeting.  No amendment shall be eligible for presentations at a meeting unless it shall have been submitted by a member representative to the President at least 30 days prior to such a meeting.  Any amendments submitted by a member representative in accordance with these By-Laws shall be published by the Board of Directors at least 14 days prior to such a meeting.
